Sharecat Solutions is committed to conducting business with integrity, transparency, and respect for human rights and the environment. Our Supplier Code of Conduct outlines the standards and expectations we hold for our suppliers and partners.
Sharecat: means Sharecat Solutions AS, a company incorporated in Norway, its subsidiaries, affiliates, business units and successors.
Supplier: means any supplier or subcontractor including their employees, sub-suppliers, lower tier subcontractors, subsidiaries, affiliates and agents.
Our Supplier Code of Conduct will equip you with the guidance you need to become a trusted Sharecat supplier, and we will provide you with all the support we can to help ensure that this guidance is clear and understood.
Our Supplier Code of Conduct isn't intended to replace any code of conduct you may already have – but, where there are conflicts between your own code of conduct and our Supplier Code of Conduct, we expect you to uphold the standards set out in this document.
Suppliers must comply with all applicable laws, regulations, and standards in the jurisdictions where they operate, including but not limited to laws related to business, labour, environmental protection, health and safety, tax and anticorruption and any other laws and regulations related to the operation of a business.
– Suppliers must uphold the standards in this Supplier Code of Conduct, including regular internal reviews and ensure all representatives understand these expectations.
– You are expected to impose the same or higher, not lower, standards with any third parties that you do business with.
– Serious failures to meet these expectations could result in us ending our relationship with you or taking other steps according to our contract with you.
We recognize that a respectful and ethical working environment depends on individuals feeling secure in raising concerns. Accordingly, we are committed to protecting anyone who speaks up from any form of retaliation.
If you have a concern or query related to the Supplier Code of Conduct, contact hr@sharecat.com (all reports will be treated with the strictest confidence if necessary).
– Speak up as soon as possible, if you have concerns about potential breaches of the law, this Supplier Code of Conduct, our policies, or Sharecat's values.
– Have in place processes and systems designed to ensure that those raising concerns are protected from any form of retaliation.
– Have in place processes to investigate any concerns that are reported to you and cooperate with Sharecat as we seek to investigate any concerns reported to us.
– Communicate to us without delay, any reports you may receive internally of incidents that concern us.
Suppliers are expected to conduct business ethically and with integrity.
– Engage in honest, respectful and fair dealings with all parties
– Protect whistleblowers and ensure safe, confidential reporting mechanisms,
– Avoid conflicts of interest and promptly disclose any that arise
– Refrain from deceptive practices, including false advertising or misrepresentation
– Keep promises and honour agreements
– Refrain from bribery, corruption, and any other unethical practices
Suppliers must uphold the principles of equal opportunity, fair treatment, and non-discrimination in all aspects of employment, including hiring, promotion, compensation, and termination.
– Provide all individuals with the same chances for employment and advancement
– Make hiring and promotion decisions based on qualifications, experience, and performance – not on personal characteristics
– Treat all employees with respect and dignity
– Apply policies and procedures consistently across the workforce
– Ensure fair wages, working conditions, and access to benefits
– Do not discriminate based on race, gender, age, religion, disability, sexual orientation, nationality, or other protected traits. This applies to all employment stages; hiring, promotion, compensation and termination.
Suppliers must not engage in or support any form of forced or involuntary labour, including bonded labour, human trafficking, or modern slavery.
– All workers are employed voluntarily
– Workers are free to leave their jobs after giving reasonable notice
– No one is coerced into working through threats, force, or manipulation
– Do not use debt to control or trap workers
– Not recruit, transport, or harbor individuals through deception or coercion for the purpose of labour
– Do not involve in any part of a supply chain that benefits from trafficked labour
– No slavery, no situation where people are treated as property or forced to work without pay or freedom
Suppliers must not employ individuals under the legal minimum working age in the respective jurisdiction, or under the age for compulsory schooling, whichever is higher.
– Must know and comply with the specific age laws in the country where they operate
– Even if a child is above the minimum working age, they cannot be employed if they are still legally required to be in school
Suppliers must provide a safe and healthy working environment for their employees, complying with all relevant occupational health and safety regulations. Fair wages and working hours together with respect for human rights and dignity in the workplace, must be obtained.
– Comply with local and international occupational health and safety laws
– Identify and mitigate workplace hazards
– Provide protective equipment, training, and emergency procedures
– Ensure access to clean water, sanitation, and safe facilities
– Pay employees at least the minimum wage or a living wage, whichever is higher
– Ensure wages are paid regularly and transparently
– Avoid wage deductions that are unfair or not legally permitted
– Comply with laws regarding maximum working hours and mandatory rest periods
– Avoid excessive overtime and ensure it is voluntary and compensated fairly
– Treating all workers with respect, regardless of role or background
– Prohibit harassment, abuse, and discrimination
– Supporting freedom of association and the right to collective bargaining
Suppliers must comply with all applicable environmental laws and regulations and strive to minimize their environmental impact through responsible resource use, waste management, and pollution prevention.
– Follow all local-, national-, and international environmental laws, including those related to emissions, waste disposal, hazardous materials, and resource usage
– Maintain necessary permits and licenses for operations that affect the environment
– Use energy, water, and raw materials efficiently to reduce waste and conserve resources
Suppliers are expected to maintain high standards of quality and performance for their products and services, and to promptly address any quality issues or concerns.
– Meet or exceed agreed specifications for products and services
– Follow industry best practices and relevant quality standards
– Ensure reliability, safety and consistency in delivery
– Continuously monitor and improve their processes to maintain quality
– If a problem is identified, the supplier must investigate the root cause of the issue, take corrective actions to fix the problem and prevent recurrence and communicate openly and transparently about the issue and resolution steps
Suppliers must respect the confidentiality of Sharecat's' proprietary information and intellectual property and take appropriate measures to safeguard it against unauthorized access, use, or disclosure.
– Not share, use or disclose any proprietary or confidential information from Sharecat without explicit permission
– Treat all such information as private and protected, even if it is not marked as confidential
– Implement security measures (e.g. access controls, encryption, secure storage)
– Ensure that only authorized personnel have access to Sharecat´s information
– Prevent accidental leaks or intentional misuse
– Report any breaches or risk immediately
Suppliers must protect confidential and personal data. A secure handling of company and customer information is also required.
Suppliers must notify Sharecat without delay if a security incident or data breach is suspected or confirmed. Notification must be sent to servicedesk@sharecat.com, marked "Security Incident".
– Safeguard any personal data (e.g. names, contact details, financial information) of Sharecat's employees, customers or partners
– Protect confidential company information such as business plans, technical specifications, pricing and contracts
– Comply with data protection laws such as GDPR, which governs how personal data is collected, stored and used
Suppliers are expected to continuously evaluate and improve their performance in line with the principles outlined in this Supplier Code of Conduct.
– Regularly assess own operations, practices and performance
– Use feedback and performance reviews to identify areas for improvement, and audits if applicable.
– Implement corrective actions and enhancements to meet or exceed expectations
– Stay informed about industry standards, regulatory changes and best practices
Sharecat reserves the right to assess supplier compliance with this Code of Conduct through audits, inspections, and other means deemed appropriate. Non-compliance may result in corrective actions, including termination of the supplier relationship.
Sharecat may:
– Conduct audits or inspections of the supplier´s facilities, processes or documentation
– Use third-party auditors or internal teams to perform these checks
– Request evidence or reports to verify compliance (e.g. labour practices, environmental impact, data protection)
– Perform unannounced visits if necessary
By doing business with Sharecat, suppliers acknowledge their understanding of and commitment to comply with the principles outlined in this Supplier Code of Conduct.
– Confirm they have read and understood the Supplier Code of Conduct
– Agree to comply with its principles as part of their business relationship with Sharecat
– Accept that compliance is a condition of doing business, not optional
Sharecat reserves the right to revise, update, or amend this Supplier Code of Conduct as necessary to reflect changes in laws, regulations, or business practices. Suppliers will be notified of any such changes in a timely manner.
Sharecat can update, amend or revise the Code of Conduct to reflect:– Changes in laws or regulations– Evolving business practices– New ethical, environmental, or operational standards
Suppliers will be:
– Informed in a timely manner about any changes
– Required to adjust their practices to remain in compliance
